第1条（定義）

本規約において使用される用語は、以下の各号のとおり定義されます。

1. 「本件サービス」とは、NCGが運営するサービス「TTML Editor 」をいい、TTML形式の歌詞データの作成を補助するWebアプリケーションをいいます。

2. 「入力データ」とは、ユーザーが本件サービスに入力する音源データおよび歌詞データをいいます。

3. 「作成データ」とは、ユーザーが本件サービスを利用して作成・編集を行うTTMLファイルデータをいいます。

4. 「本件サイト」とは、NCGが本件サービスを提供するウェブサイトをいいます。

5. 「本件システム」とは、NCGが、本件サービスの提供を目的として開発したシステムをいいます。

6. 「ユーザー」とは、本件サービスを利用する者をいいます。

第2条（本件サービスの機能）

ユーザーは、本件サービスを利用して入力データをもとに、TTMLファイルを作成することができます。ただし、作成データを出力するためには第3条に定めるユーザー認証を行う必要があります。

第3条（アカウント）

1. ユーザーは、NCGが指定する方法でメールアドレスを登録することで、ユーザー認証を行い、アカウントを作成することができます。

2. ユーザーは、アカウントを第三者に譲渡、貸与または開示してはなりません。

3. ユーザーの責に帰すべき事由によるアカウントの管理不十分、使用上の過誤、第三者の使用に起因してNCGまたは第三者に損害が生じた場合、ユーザーは、当該損害を賠償するものとし、NCGは、当該損害について、一切の責任を負いません。

4. ユーザーは、アカウントが第三者によって不正に使用されていることが判明した場合には、ただちにNCGに通知し、NCGの指示に従うものとします。ユーザーが本項の通知を行わなかったことにより、本件サービスを利用できないなどの不利益を被った場合、NCGは一切の責任を負いません。

第4条（通知）

1. NCGからユーザーへの通知は、本件サイト上の表示、発行物、電子メールその他通知内容に応じてNCGが適当と判断する合理的な方法で行います。

2. NCGからの電子メールによる通知は、ユーザーが登録したメールアドレスあてに送信した時点で完了するものとします。ユーザーが電子メールを確認しない場合または通信状況の不具合による不到達について、NCGでは一切の責任を負いません。

第5条（データの取り扱い）

1. ユーザーは、入力データおよび作成データを自己の責任において管理を行うものとします。

2. NCGは、本件システムにおいて、入力データおよび作成データの保存、保管、バックアップ等は行いません。ユーザーが作成データを出力せずに本件サービスの利用を中断した場合、作成または編集中のデータが削除される可能性があります。

第6条（本件システムの運用監視・保守）

1. NCGは、以下の各号の事項に該当する場合、事前にユーザーに通知することにより、本件システムの全部または一部を停止することができるものとします。ただし、NCGが緊急のためやむを得ないと判断する場合は、本件システムの停止後ただちにユーザーに通知することで足りるものとします。

   1. 天災地変などの不可抗力により、本件サービスの全部または一部の提供が困難となった場合。

   2. 本件サービスの維持に不可欠な保守点検または各種調整を行う場合。

   3. 本件システムに突発的な故障等が発生した場合。

   4. アクセス過多またはその他予期せぬ要因により本件システムに負荷が集中した場合。

   5. 前各号のほか、本件サービスの運営上必要とNCGが判断する場合。

2. NCGは、本条に基づく本件システムの停止によりユーザーに発生した損害について、一切の責任を負わないものとします。

第7条（禁止事項）

1. NCGもしくは第三者の権利を侵害する行為、または侵害するおそれのある行為。

   1. 天災地変などの不可抗力により、本件サービスの全部または一部の提供が困難となった場合。

   2. NCGもしくは第三者を誹謗中傷し、または名誉もしくは信用を毀損する行為。

   3. 他のユーザーまたは第三者との間で紛争が生じるおそれのある行為。

   4. 本人の同意を得ることなく、または不正な手段により第三者の個人情報もしくは公開されていない情報を収集する行為。

   5. 通信妨害、通信傍受、または本件システムへの侵入にあたる行為。

   6. 自らまたは第三者を利用して行われる脅迫的言辞、詐欺的言辞、暴力的行為、または法的な責任を超えて不当な要求をする行為。

   7. NCGの事前の承諾なく、本件サービスの全部または一部の機能を他の製品、サービス、アプリケーション等に組み込む行為。

   8. 本件サービスと競合または類似するサービスを開発または改良する目的で本件サービスにアクセスもしくは解析する行為。

   9. NCGまたは他のユーザーに成りすます行為。

   10. 本件サイトの運営または本件サービスの提供を妨げる行為。

   11. 不正アクセス・プログラムの実行、サーバー攻撃等、通常の範囲を超えて本件システムに負担をかける行為、もしくは、本件サイトの運営やネットワーク・システムに支障を与える行為、またはこれらのおそれのある行為。

   12. ウィルス等の有害なコンピュータプログラム等を送信または掲載する行為。

   13. 公序良俗に反する行為、法令、条約、関係ガイドラインに違反する行為。

   14. 反社会的勢力等に対する利益供与その他の協力行為。

   15. その他NCGが不適切と判断する行為。

2. NCGは、ユーザーが前項に違反したことが判明した場合、または違反するおそれがあると合理的に判断した場合、事前にユーザーに通知することなく、違反行為の是正、本件サービスの利用停止などの措置を行うことができるものとし、当該措置について、ユーザーに対して一切の責任を負わないものとします。

3. ユーザーが第1項の規定に違反し、またはユーザーの責に帰すべき事由によりNCGまたは第三者に損害を与えた場合、ユーザーは、当該損害を賠償するものとし、NCGが第三者から責任を追及された場合、ユーザーの責任と負担においてこれを解決し、NCGを免責するものとします。

第8条（権利）

1. 本件サービスにおいて使用される商標、ロゴおよびサービスマーク（以下、あわせて「商標等」といいます。）は、NCGまたはNCGにその使用を許諾する第三者の商標です。ユーザーは、NCGの事前の書面による承諾なく商標等を使用してはなりません。

2. 作成データの著作権は、ユーザーに帰属するものとします。

第9条（サービス利用料等）

1. 本件サービスの利用料は、無料です。なお、本件サービスの利用にかかる通信料はユーザーが負担するものとします。

2. NCGは、前項の定めにかかわらず、別に有料サービスを提供する場合があります。

第10条（解約・廃止）

1. NCGは、相当の期間を定めてユーザーに通知することにより本件サービスの全部または一部を廃止することがあります。

2. NCGは、前項に定める本件サービスの廃止によりユーザーに発生した損害について、一切の責任を負わないものとします。

3. NCGは、以下の各号の場合には、事前にユーザーに通知することにより、本規約をいつでも変更することができます。このとき、当該変更後の本規約は本件サイトへのアップロードをもって効力を発生し、本件サイトおよび本件サービスの利用条件は当該変更後の本規約によるものとします。

   1. ユーザーの一般の利益に適合する場合

   2. 前号の場合を除き、法令、経済情勢、経営状況の変化・変動その他の事情に照らして、本規約の変更が合理的である場合

第11条（個人情報）

NCGは、本サービスの提供に関連してNCGが取得する個人情報については、NCGが別途定める個人情報保護方針（https://www.columbia.co.jp/docs/privacy）および「個人情報の保護に関する法律に基づく公表事項（プライバシーポリシー）」（https://www.columbia.co.jp/docs/privacy/announcements）に従って管理し、取り扱うものとします。

第12条（損害賠償・免責）

1. 本件サイトおよび本件サービスについて、NCGは以下の事項を保証せず、これらの事項によってユーザーまたは第三者が損害を受けたとしても、いかなる責任も負いません。

   1. アクセス、表示または反応速度の低下が生じないこと

   2. 障害、不備、不完全性または中断がないこと

   3. 通信回線の障害若しくは異常、本件システム等に含まれるソフトウェアの不具合・バグ等が生じないこと

   4. 作成データが、第三者の知的財産権等を侵害しないこと、または侵害の主張が生じないこと

2. 本件サイトおよび本件サービスを通じてNCGが提供する情報について、NCGはその正確性、特定の目的適合性、有用性等、いかなる保証も行わず、また、いかなる責任も負いません。

3. 本規約の他の定めにかかわらず、NCGの責めに帰すべき事由によりユーザーに損害が生じた場合、NCGは当該損害を賠償する責任を負います。ただし、NCGの故意または重過失によって発生した場合を除き、NCGがユーザーに対して負う責任の総額は、10,000円を上限とします。

4. ユーザーは、本件サイトまたは本件サービスの利用に関して自己の責に帰すべき事由によりNCGに損害を与えた場合、NCGが被った一切の損害を賠償するものとします。

5. 前二項の定めにもかかわらず、ユーザーおよびNCGは、戦争、暴動、ストライキ、火災、事故、伝染病、地震、風水害その他不可抗力による履行遅滞または履行不能による相手方の損害について免責されるものとします。ただし、金銭債務の履行についてはこの限りではありません。

6. NCGは、作成データの正確性を保証するものではなく、いかなる責任も負いません。また、作成データに起因して発生したユーザーの損害について、いかなる責任も負いません。

7. NCGは、ユーザーが本件システムを通じて送受信する情報に関して、暗号化処理がなされている場合といえども、その安全性・秘匿性について完全な保証を行うものではありません。

8. ユーザーは、本件サービスを利用するための利用環境の整備ならびに機器の準備、設定および設置を自らの責任で行うものとし、ユーザーの利用環境の不備、機器の不良または不適合により発生した本件サービスの不具合または障害等について、NCGはいかなる責任も負いません。

第13条（分離可能性）

1. 本規約のいずれかの条項またはその一部が法令に基づいて無効または執行不能と判断されても、本規約の残りの規定および一部が無効または執行不能と判断された規定の残りの部分は、継続して完全に効力を有するものとします。

2. 本規約の規定の一部があるユーザーとの関係で無効または執行不能と判断され、または取り消された場合でも、本規約はその他のユーザーとの関係では継続して完全に効力を有するものとします。

第14条（準拠法・合意管轄）

本規約は日本法を準拠法とし、ユーザーとNCGとの間に生じた本件サービスに関する紛争は、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

第15条（言語）

本規約は日本語および英語で作成されるものとします。ただし、本規約は日本語版を正文とし、日本語版の内容と英語版の内容との間に齟齬が生じた場合には、日本語版が優先的に適用されるものとします。

第16条（協議事項）

本規約の解釈に関する疑義については、ユーザーとNCGとの間で誠意をもって協議のうえ解決します。

Article 1 (Definitions)

Terms used in these Terms are defined as follows:

1. “Service” means the “TTML Editor” service operated by NCG, which is a web application that assists in the creation of lyric data in TTML format.

2. “Input Data” means the sound source and lyric data that Users input into the Service.

3. “Created Data” means the TTML file data that Users create and edit using the Service.

4. “Site” means the website on which NCG provides the Service.

5. “System” means the system developed by NCG for the purpose of providing the Service.

6. “User” means any person who uses the Service.

Article 2 (Functions of the Service)

Users may create TTML files based on the Input Data by using the Service; provided, however, that user authentication set forth in Article 3 must be performed in order to output the Created Data.

Article 3 (Account)

1. Users may perform user authentication and create an account by registering their e-mail addresses using the method designated by NCG.

2. Users shall not transfer, lend or disclose their account to a third party.

3. In the event that NCG or a third party suffers any damage caused by reasons attributable to a User such as inadequate management or inappropriate use of account or use thereof by a third party, the User shall compensate for such damage and NCG shall not be liable for any such damage.

4. Users shall, if they discover that their account is being used unlawfully by a third party, immediately notify NCG and follow its instructions. NCG shall not be liable for any disadvantage such as inability to use the Service due to the User's failure to give such notice.

Article 4 (Notice)

1. A notice by NCG to Users will be made in such reasonable manner as NCG determines appropriate according to its content, including displaying on the Site, publication and e-mail.

2. A notice by NCG through e-mail shall be deemed to have been provided once it is dispatched to the e-mail address registered by the User. NCG shall not be liable for any failure of the User to check the e-mail or for any delivery failure due to communication interruption.

Article 5 (Handling of Data)

1. Users shall manage the Input Data and the Created Data at their own responsibility.

2. NCG will not save, store or back up the Input Data or the Created Data on the System. If Users suspend use of the Service without outputting the Created Data, the data being created or edited may be deleted.

Article 6 (Monitoring and Maintenance of the System)

1. NCG may suspend all or part of the System by giving a prior notice to Users if any of the following items applies; provided, however, that in the event NCG determines that it is unavoidable due to urgency, it shall be sufficient to notify Users immediately after the System is shut down.

   1. It becomes difficult to provide the Service in whole or in part due to force majeure such as acts of God.

   2. Maintenance and/or adjustments indispensable for the maintenance of the Service.

   3. Unexpected failure or the like in the System.

   4. Concentrated load on the System due to excessive access or other unforeseen factors.

   5. NCG determines it necessary for the operation of the Service.

2. NCG shall not be liable for any damage suffered by Users as a result of the suspension of the System pursuant to this Article.

Article 7 (Prohibition)

1. Users shall not engage in any of the following acts when using the Service.

   1. Infringement of, or acts that may infringe, the rights of NCG or a third party.

   2. Slander or libel of NCG or a third party or undermining their reputation or credit.

   3. Acts that may give rise to any dispute with other Users or a third party.

   4. Collecting personal or undisclosed information of a third party without obtaining their consent or by unlawful means.

   5. Interference with communications, interception of communications, or trespass into the System.

   6. Making a threatening or fraudulent statement, engaging in a violent act or making an unfair claim that exceeds legal liability, either by themselves or through a third party.

   7. Incorporating all or part of the functions of the Service into other products, services or applications without the prior consent of NCG.

   8. Accessing or analyzing the Service for the purpose of developing or improving a service that competes with or is similar to the Service.

   9. Act of pretending to be NCG or another User.

   10. Acts that impede the operation of the Site or the provision of the Service.

   11. Acts that may impose burdens on the System beyond the normal scope such as unauthorized access, running unauthorized programs, and server attacks, or that may interfere with the operation of the Site or the network system.

   12. Transmitting or posting harmful computer programs such as viruses.

   13. Violation of public order and morality, laws and regulations, treaties, or relevant guidelines.

   14. Providing benefits and engaging in other cooperative conduct with anti-social forces.

   15. Acts which NCG determines inappropriate.

2. In the event that a User is found to have breached the preceding paragraph or NCG reasonably determines that a User may breach the same, NCG shall be entitled to take actions without a prior notice to the User, including correction of the breach or suspension of the use of the Service, without being held liable to the User for such action.

3. In the event that a User breaches Paragraph 1 of this Article or causes any damage to NCG or a third party due to reasons attributable to the User, the User shall compensate for such damage. In the event that a third party pursues liability of NCG, the User shall resolve this at his/her own liability and expense and shall hold NCG harmless.

Article 8 (Rights)

1. Trademarks, logos and service marks used in the Service (collectively, “Trademarks”) are trademarks of NCG or a third party that has licensed NCG to use the same. Users shall not use Trademarks without the prior written consent of NCG.

2. Any copyright to the Created Data shall belong to the User.

Article 9 (Fee for the Service)

1. No fee is charged for the Service. The communication charges arising in connection with the use of the Service shall be borne by Users.

2. Notwithstanding the provisions of the preceding paragraph, NCG may separately provide fee-based services.

Article 10 (Termination and Abolition)

1. NCG may abolish all or part of the Service upon reasonable notice to Users.

2. NCG shall not be liable for any damage suffered by Users as a result of the abolition of the Service set forth in the preceding paragraph.

3. NCG may amend these Terms at any time by notifying Users in advance in any of the following cases. In such event, the amended Terms shall become effective upon upload to the Site, and the terms of use of the Site and the Service shall be governed by such amended Terms.

   1. If such amendment is in the general interest of Users.

   2. 前Except for the case referred to in the preceding item, if it is reasonable to amend these Terms in light of laws and regulations, changes or fluctuations in the economic situation or management situation or any other circumstances.

Article 11 (Personal Information)

NCG shall manage and handle personal information obtained in connection with the provision of the Service in accordance with the Privacy Statement (https://www.columbia.co.jp/docs/privacy) and the “Public Notice Pursuant to Act on the Protection of Personal Information (Privacy Policy)” (https://www.columbia.co.jp/docs/privacy/announcements) set forth separately by NCG.

Article 12 (Damages and Indemnification)

1. With respect to the Site and the Service, NCG does not warrant the following and will not be liable for any damage to Users or any third party caused thereby:

   1. That there will be no reduction in access, display or reaction speed;

   2. That there will be no failure, incompletion, imperfection or interruption;

   3. That there will be no failures or abnormalities in the communication lines, and that there will be no failures or bugs, etc. in the software included in the System, etc.; and

   4. That the Created Data will not infringe, or be claimed to infringe, any third party's intellectual property rights, etc.

2. NCG makes no warranty nor assumes any liability for the accuracy, suitability and usefulness of the information provided by NCG through the Site and the Service.

3. Notwithstanding any other provision of these Terms, NCG shall be liable for any damages incurred by Users due to any reason attributable to NCG; provided, however, that NCG’s total liability to the User will not exceed 10,000 yen, unless caused by willful act or gross negligence of NCG.

4. In the event that NCG suffers any damage caused by reasons attributable to a User with regard to the use of the Site or the Service, the User shall compensate for any and all damages incurred by NCG.

5. Notwithstanding the provisions of the preceding two paragraphs, Users and NCG shall be exempt from any liability for any damage to the other party due to delay in performance or failure to perform which is attributable to war, riot, strike, fire, accident, infectious disease, earthquake, wind and flood damage, or other force majeure events; provided, however, that this shall not apply to the performance of monetary obligations.

6. NCG makes no warranty nor assumes any liability for the accuracy of the Created Data. Further, NCG shall not be liable for any damage caused to the User due to the Created Data.

7. NCG does not guarantee the security or confidentiality of any information transmitted or received by Users via the System even if the information has been encrypted.

8. Users shall be responsible for the preparation of the environment for use of the Service and the preparation, configuration and installation of any equipment, and NCG shall not be liable for any fault or failure of the Service arising from any inadequacy of the User's environment, defect or non-conformance of any equipment.

Article 13 (Severability)

1. If any provision of these Terms or any part thereof is held invalid or unenforceable under laws and regulations, the remaining provisions of these Terms and the remainder of the provision which has been held invalid or unenforceable in part shall remain in full force and effect.

2. These Terms shall remain in full force and effect with respect to other Users even if a portion of the provisions of these Terms is found to be invalid or unenforceable or is cancelled with respect to a User.

Article 14 (Governing Law and Jurisdiction)

These Terms shall be governed by the laws of Japan, and any dispute arising between a User and NCG concerning the Service shall be brought for the first instance to the Tokyo District Court as the court of exclusive jurisdiction.

Article 15 (Language)

These Terms shall be prepared in Japanese and English; provided, however, that the Japanese language version shall be the original and shall prevail if there is any conflict between the Japanese language version and the English language version.

Article 16 (Consultation)

Any doubts regarding the interpretation of these Terms shall be settled after due consultation between the User and NCG in good NCG.
